1. Agreement
By accessing or using Quickvee Pay, you agree to these Terms and our Privacy Policy. If you use Quickvee Pay on behalf of a business, you represent that you are authorized to bind that business. Merchants approved for payment processing are also subject to the Merchant Agreement.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. Quickvee Pay is intended for legitimate business use. We may refuse, suspend, or terminate access where we determine use is unlawful, high-risk, or inconsistent with these Terms or partner requirements.

- You are responsible for activity that occurs under your account
4. Acceptable use
You agree not to:
- Use the service for illegal activity, fraud, or unauthorized ACH debits/credits
- Misrepresent your identity, business, ownership, or authorization to process payments
- Interfere with service integrity, security, or availability
- Reverse engineer or misuse APIs beyond documented, permitted use
- Upload malware or attempt to bypass access controls
- Process transactions without proper customer authorization where required
5. Payments and ACH
ACH processing is subject to bank partner rules, NACHA Operating Rules, applicable law, and your Merchant Agreement. Settlement timing, return codes, fees, reserves, and risk controls may apply. You are responsible for obtaining and retaining required authorizations and for losses arising from unauthorized, returned, or disputed transactions to the extent permitted by your agreements and applicable rules.
6. Fees
Fees are described in your quote, pricing schedule, or Merchant Agreement. You authorize Merchantech and its partners to debit fees, adjustments, chargebacks/returns, and other amounts owed according to those agreements.
7. Intellectual property
Quickvee Pay software, branding, documentation, and related materials are owned by Merchantech or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service as permitted by these Terms. You retain ownership of your business content, subject to the licenses needed for us to operate the service.
8. Third-party services
The service may integrate with banks, identity vendors, hosting providers, and other third parties. Their terms and privacy practices may also apply. We are not responsible for third-party services we do not control.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCHANTECH DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCHANTECH AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU TO MERCHANTECH FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
11. Indemnification
You agree to defend and indemnify Merchantech against claims, losses, and expenses arising from your misuse of the service, your content, your transactions, or your violation of these Terms, applicable law, or payment network rules.
12. Suspension and termination
We may suspend or terminate access for risk, compliance, non-payment, or Terms violations. You may stop using the service at any time. Provisions that by nature should survive (including fees owed, IP, disclaimers, liability limits, and indemnity) will survive termination.

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, unless your Merchant Agreement specifies otherwise. Courts located in California will have exclusive jurisdiction, except where prohibited by law.
14. Changes
We may update these Terms by posting a revised version with an updated date. Continued use after changes become effective constitutes acceptance, except where additional consent is required by law or a separate agreement.
